Appointment and Responsibilities

On May 9, 112, the board of directors appointed Ms. Yen Chia-Ni, Deputy General Manager of the Finance and Accounting Department, as the Corporate Governance Officer to oversee corporate governance matters, ensuring shareholder rights and strengthening the functions of the board of directors. Ms. Yen Chia-Ni has served as the accounting manager of the publicly traded company for more than three years, meeting the eligibility criteria outlined in the “Key Points for the Establishment and Exercise of Powers by the Boards of Directors of Listed/OTC Companies.”

Scope of Responsibilities

  1. Handle matters related to board meetings and shareholder meetings in accordance with the law.
  2. Prepare minutes of board and shareholder meetings.
  3. Assist directors in their appointment and ongoing education.
  4. Provide necessary information for the execution of the board’s business.
  5. Assist directors in compliance with legal requirements.
  6. Handle other matters specified in the company’s articles of incorporation or contracts.

Business Execution in the 112th Fiscal Year

  1. Responsible for conducting board and shareholder meetings and preparing minutes.
  2. Assist directors in continuous education, arranging courses such as “Corporate Governance and Securities Regulations” for the 112th fiscal year.
  3. Assist directors in carrying out their duties and provide the necessary information.
  4. Assist directors in compliance with legal requirements, notifying directors of any additions or revisions to laws and regulations related to corporate governance.

Educational Activities in the 112th Fiscal Year

Ms. Yen Chia-Ni, the newly appointed Corporate Governance Officer in May 112, will complete 18 hours of continuing education courses within one year of assuming office in accordance with the provisions of the “Key Points for the Establishment and Exercise of Powers by the Boards of Directors of Listed/OTC Companies.”
